PARTIES

This agreement is between the vendor and client;

Vendor: Your Video Partner Ltd - the owner of the www.yourvideopartner.com website & it’s contents and the provider of the videos sold to the client.

Client: Any approved partner who purchases a video from www.yourvideopartner.com

When a client makes a purchase on www.yourvideopartner.com or externally orders a revision round etc. the following terms apply:

 

DELIVERABLES

The vendor will provide the client with the following deliverables:

1x videos based on the client’s selected requirements including template scenes, brand information, voiceover choice etc 

 

If the client specifies within the order requirements this can also include SFX integration and a background music track, chosen from our selection

 

REVISION POLICY

The client will be provided with 1 round of revisions within the purchase of a video, which must be sent as a one-time email to the vendor - within that one-time round unlimited revisions can be sent at once. The revision(s) will be made within 7 days assuming that there is nothing that needs clarification/ a wait for the client’s input/ information/ content/ external delays.

 

This round of included revision(s) cannot include changes to the design of the templates including the script. Templates and their associated scripts are effectively ‘sold as seen’ - the following are elements the vendors can request to have revised within this round (in brackets it is described what can be changed within the revision round):

  • Voiceover (correcting word pronunciation especially for uncommon industry specific words)

  • SFX (swapping for a different style of SFX or increasing/ decreasing their volume/ quantity)

  • Background music (increasing/ decreasing volume, fading out earlier, beginning the song later etc.)

  • Colours (changing where the vendor has implemented the provided colours/ potentially changing any colours the vendor added to compliment the client’s brand colours)

  • Timing and speed (changing timing or speed of transitions, text/ assets entering etc)

  • Transitions (changing the transitions which are used between scenes)

  • Assets/ photos (changing the stock asset(s) - used for things like unique selling points - for different stock asset(s) from our 3rd party source)

 

The only other relevant case for a revision, within this complimentary round of revisions, is an error from Your Video Partner e.g. typo, wrong scene used which doesn’t match with requirements etc - as long as an error from Your Video Partner is spotted before the client accepts deliverables it will be solved (does not include subjective errors such as quality). 

 

Likewise once the client accepts deliverables regardless if they did or didn’t use their one round of revisions it will no longer be valid.

 

Revisions can be limited by the nature of the templates. Some changes may not be possible e.g. changing colours of certain parts of the scene, changing the template design, changing the corresponding template script, doing any custom work, such as making a video adapted for displaying 4 products not 3, although the above possible revision cases are very rarely not doable. 

 

Revisions should be as specific as possible within the scope of the project e.g. at 0:05 change the colour of the box to HEX #00123 - if a revision is completed but not as the client meant due to unclear instructions the vendor is not obligated to revise this further. The complimentary revision round is a one-time offering and task.

 

If an additional round of revisions is requested or the revision round needs to encompass requirements change, the client has the ability to choose the correct revision package for them:

 

If brought a 30 second $99 video

$10 = Another round of minor revisions with the terms as above 

$30 = Another round of minor revisions with the terms as above alongside the inclusion of requirements changes within the purchased package ie swapping template scenes, changing voiceover choice, correcting information/ content/ details given about the brand (it must be for the same company name though)

 

If brought a 60 second $149 video

$20 = Another round of minor revisions with the terms as above 

$55 = Another round of minor revisions with the terms as above alongside the inclusion of requirements changes within the purchased package ie swapping template scenes, changing voiceover choice, correcting information/ content/ details given about the brand (it must be for the same company name though)

 

If brought a 90 second $199 video

$30 = Another round of minor revisions with the terms as above 

$80 = Another round of minor revisions with the terms as above alongside the inclusion of requirements changes within the purchased package ie swapping template scenes, changing voiceover choice, correcting information/ content/ details given about the brand (it must be for the same company name though)

 

VARIATIONS

The real runtime of a video has the possibility of varying from the stated runtimes of 30/60/90 seconds by approximately 10% based on the specific company content.

 

A template script is used to create the script for each specific video - this template script is similar to what the client can see when choosing their templates in the order requirements google form. If any changes want to be made to this which don’t impact runtime/ visuals/ flow and it has to be approved by the vendor, this must be stated on the form before purchasing. 

 

Based on the fit, flow and the vendor’s discretion these script templates may be tweaked, swapped for another or made from scratch based on what works best with the video but sign off is assumed due to limited ability to change, initially choosing of it with the scene and speed of turnaround.

 

The same applies to the video templates - while the vendor is not able to make design changes based on client’s requests - if the vendor feel it is better/ necessary/ want to change the design, animation or other element of a scene or any other element of the video for that matter, within the scope of work it is agreed to give them the creative freedom to do this. 

 

VOICEOVER

While rare, there may be occasions where the chosen VO artist is not available - in which case Your Video Partner will choose the closest fit to your original choice from remaining VO artists and implement that in the final video.

 

TURNAROUND TIME 

Once all details are provided in their entirety the vendor will provide the deliverables within 7 days assuming that there is nothing that causes need for clarification/ a wait for the client’s input/ information/ content/ external delay etc. If there is anything which causes a delay to the timeline, the client will be given 24hrs notice at minimum where possible.

 

If the vendor does not receive a revision notification or accept deliverable notification from the client within 28 days of sending deliverables they have the right to assume the video has been approved and to close the order as a successful, completed order and not required to revise after this. Otherwise off can be verbal, over email etc. or assumed if deliverables/ revisions at any stage are sent and there’s no further revisions requested and paid for within 28 days.

 

REFUND POLICY

Due to the client seeing and selecting the majority of the content before purchasing, videos are non-refundable. A VO not being available, an extension of deadline, a limitation of a template, not liking the quality or style of the video etc will not be a valid reason to receive a refund.

 

DESIGN OWNERSHIP & RIGHTS

The vendor - Your Video Partner Ltd - is and will always be the sole owner to the rights of the video templates from which the client chooses from - these must not be reproduced. The vendor grants every client with a license to use the deliverables provided for any use commercially on the internet. By deliverables the how to use guide is not included - this is Your Video Partner’s sole IP and must not be used or reproduced by the vendor except for individual use. The license relates to the delivered videos which are made by the vendor by customising the templates to client’s brand, integrating the voiceover, transitions etc. The client is free to use this finalised design on the internet for reselling to their end-consumer, advertising, posting on websites, social media etc.

The rights to use the templates or any derivative of them or the finalised design in any way by anyone except the vendor is not allowed without prior written consent.

 

CONTENT CREATION

The vendor may use stock assets/ animations for videos from 3rd party sources. The vendor will not be responsible in any way shape or form, for any similarities between images used in the video that may or may not resemble other videos/ content. 

 

Similarly these templates will be sold to multiple clients, hence why the license is for commercial use of the finalised design not the original templates or a derivative of the finalised design.

INFORMATION HOLDING/ SHARING

We will only share information provided with those organisations/ individuals necessary to the completion of the video. These may be 3rd party organisations/ individuals.

 

All information provided for projects/ account sign ups etc. will be accessible to the client and the vendor via their closed access dashboard at all times during the project and after completion.
 

PAYMENT & SECURITY

All payments to Your Video Partner will be made through www.yourvideopartner.com with the client having to enter information upon purchase linking to the google form requirements which Your Video Partner must be given access to. Payment for further revisions will likely be paid off payment, and likely through a PayPal invoice sent by Your Video Partner. 

 

Your Video Partner Ltd cannot be held liable for any fees incurred during the payment process whether by PayPal, currency conversion or any other party or factor.

 

While the vendor uses 3rd party payment integrations, the vendor has no responsibility to guarantee the security or safety of paying via this payment method. As well as this, any details provided by the client on the www.yourvideopartner.com site is done so at the client’s own risk and judgement without Your Video Partner being held accountable for any damages that this may lead to.

CANCELLATION

Your Video Partner, hold all the rights to reject any project or cancel the contract whenever it deems necessary

 

DAMAGES

Your Video Partner Ltd cannot and will not be held accountable for any damages coming from the use of the video or any other content or information they provide, whether it be loss of reputation, business, profit or SERP rankings. 

 

It can not be guaranteed that the video will lead to customers being 73% more likely to buy or becoming 50x more likely to organically rank on google etc. or any similar statistics used by Your Video Partner. These are statistics sourced from 3rd party sources about the benefits explainer video can have but is not a promise made by Your Video Partner Ltd - they can not be held accountable to these claims.
